Terms of Service

The websites http://winthropintelligence.com and http://winad-hq.com (the “WI Website”) are owned by WINTHROP INTELLIGENCE, LLC (“WI”), a Wyoming limited liability company. By accessing or using the WI Website, you agree to be bound by these Terms of Service and all applicable laws and regulations. WI may revise and update these Terms of Service at any time without prior notice. Your continued use of the WI Website after any such changes constitutes your acceptance of the new Terms of Service.

Website Content and License

The WI Website, including but not limited to all text, graphics, logos, icons, images, data, graphs, audio, videos, computer programs and other material (collectively, the “Content”), is the property of WI or its suppliers and is protected by United States and international copyright, trademark and other intellectual property laws.

Subject to your compliance with the Terms of Service, WI grants you a limited, nonexclusive, non-transferable, personal license to use the WI Website for personal or informational purposes only. Except as set forth above, copying, reproduction, modification, distribution, display, or transmission of any of the Content is strictly prohibited without the prior written authorization of WI.

User Registration

You may request access to certain features of the WI Website by completing the WI Website registration process. In registering, you agree to: (a) provide true, accurate, current and complete information about yourself as requested by the WI Website's registration form and (b) maintain and promptly update the registration information to keep it true, accurate, current and complete. If WI suspects that information you provide is untrue, inaccurate, not current or incomplete, WI has the right to suspend or terminate your access to the WI Website. You are entirely responsible for maintaining the confidentiality of your password.

Content Submitted by Users

The WI Website may include blogs, forums, chats and other posting areas. You may be able to post written content and images (“User Content”). All User Content is the sole responsibility of the person who posts such User Content. This means that you, and not WI, are responsible for all User Content you post. The WI Website simply acts as a passive channel for such User Content.

WI does not review each posting and is not responsible for the accuracy of any User Content. WI does not endorse any views expressed in any User Content and disclaims any liability associated with such User Content. WI is not responsible if any User Content contains viruses.

By posting User Content on the WI Website, you retain ownership of such User Content, subject to the license you grant to WI. You hereby grant WI a royalty-free, perpetual, irrevocable, non-exclusive, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed.

WI reserves the right in its sole discretion to refuse, move, or delete any User Content that violates any law, the Terms of Service, or any third-party rights.

Content Submission Rules

You may not submit any User Content that:

• is libelous, defamatory, obscene, pornographic, or invasive of another person's privacy;
• promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
• harasses or advocates harassment of another person;
• involves the transmission of junk mail or spam;
• is intended to or does impersonate any person or entity, including any representative of WI;
• contains restricted or password-only access pages or hidden content;
• is in violation of any law or regulation; or
• infringes on any third-party's copyright, trademark, patent, trade secret, or other proprietary rights.

You also agree to comply with all applicable laws, including all rules and regulations applicable to the software, hardware, or any other equipment used in connection with accessing the WI Website. You agree that you will only submit User Content to which you have all necessary rights to post.

Termination

WI may, in its sole discretion, terminate or suspend your access to all or part of the WI Website, for any reason, including, without limitation: (i) your breach of the Terms of Service, (ii) your misuse of the resources of the WI Website, or (iii) in response to any request by law enforcement or other government agencies. WI will not be liable to you or any third party for any termination of your access to the WI Website. Sections below relating to “Limited Warranties and Disclaimer,” “Trademarks,” and “Copyright Infringement” shall survive any termination of the Terms of Service.

WI Software

Use of any WI software is governed by the Winthrop Intelligence Software Agreement located at www.winthropintelligence.com/softwareterms.

Links to Other Websites

The WI Website may provide links to websites operated by third parties. WI exercises no control whatsoever over such third-party websites and WI expressly disclaims all responsibility for and liability arising from the content or availability of such third-party websites or for any materials residing thereon.

Limited Warranties and Disclaimer

Each user's use of the WI Website is at his or her sole risk. The WI Website is provided on an “as is” and “as available” basis. WI expressly disclaims all representations, warranties and conditions of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

WI SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF WI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, RESULTING FROM: (A) THE USE OR INABILITY TO USE THE WI WEBSITE, (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND/OR SERVICES RESULTING FROM ANY GOODS AND/OR SERVICES OBTAINED FROM OR AVAILABLE THROUGH THE WI WEBSITE, (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF ANY DATA, OR (D) ANY OTHER MATTER RELATING TO THE WI WEBSITE. THE MAXIMUM LIABILITY OF WI SHALL IN NO EVENT EXCEED TEN DOLLARS ($10.00).

Trademarks

WINTHROP INTELLIGENCE® and WIN AD® are registered trademarks of WI. All other trademarks, service marks, and logos used in the WI Website are the trademarks, service marks, or logos of their respective owners. You agree that you will not use any such marks without the prior written consent of WI or of such third party, as appropriate.

General Information

The Terms of Service constitute the entire agreement between you and WI. The Terms of Service are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. You and WI agree to submit to the exclusive jurisdiction of the state and federal courts located in Park County, Wyoming.

If any provision of the Terms of Service is found by a court of competent jurisdiction to be invalid, the other provisions shall remain in full force and effect. Nothing in the Terms of Service shall be deemed to create an agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship of any kind between WI and you or any other person or entity.
